Our Client is a unique international firm that represents a significant number of the wealthiest individuals and families in the United States, Europe and Asia. They also represent many larger clients, middle market clients, and entrepreneurs.

They are seeking a senior corporate associate or counsel for their San Francisco office (working out of Palo Alto is also possible).

They advise and assist privately held companies, investors and entrepreneurs on corporate governance, corporate and commercial transactions, corporate and tax structure, financings, joint ventures and strategic alliances, and other business matters, from start-up to international expansion, corporate finance, restructuring and reorganizations, mergers and acquisitions, and other strategic and business transactions. They work alongside partners and colleagues in the United States, Europe, Japan, Singapore, Hong Kong and Australia to provide seamless international corporate and commercial law advice to corporate clients across a wide range of business sectors, especially in the technology industry.

The Role: The focus of this role will be on cross-border corporate transactions, with a particular emphasis on private equity, venture capital and technology entrepreneurs.

Skills and experience required:

• Ability to work directly with technology entrepreneurs and investors as general corporate counsel and as a strategic advisor
• Exposure to complex corporate transactions, including M&A, joint ventures and restructuring
• Experience with public and private securities transactions
• Experience with fund formation, venture capital financings and related securities regulations
• International experience and working across borders in multiple time zones
• Strong project management ability; ability to balance a large number of competing priorities
