Foley & Lardner LLP is seeking an associate to join the Transactional & Securities Practice Group in our New York office. Our ideal candidate will have very strong experience working with publicly- and privately-held companies and other entities in a wide variety of general corporate law and governance matters, including securities offerings and other capital markets transactions, mergers and acquisitions, and venture capital work. Familiarity with investment companies and/or REITs would be very helpful. Candidates should be adept at conducting legal research of corporate governance and transactional matters, drafting, editing and reviewing agreements, contracts, disclosure schedules, regulatory filings, periodic reports, securities filings and other related documents for M&A transactions, and managing the flow of corporate transactions from inception through final implementation. We are seeking a well-rounded, dynamic, highly-motivated Business Law associate with four or more years of experience, who is invested in establishing a career and working collaboratively with a seasoned, busy partner. Large law firm experience preferred. Top academics and experience required. To be considered, a candidate must hold a JD from a top tier, ABA-approved law school and must be an active member in good standing of the New York Bar. A Maryland license also would be helpful, but is not required.
