Assistant General Counsel at Collective (New York, NY)

The Assistant General Counsel will be primarily responsible for drafting, structuring, negotiating and advising on a broad range of commercial and corporate contracts, ranging from day to day agreements to highly sophisticated transactions, including M&A transactions. The ACG will also handle corporate legal matters for Collective under the direction of the General Counsel, as well as review and approve marketing materials, investor relation materials, and advise the company on appropriate actions to be taken to anticipate and guard against legal risk involving the company or its personnel. The ideal candidate will possess a background in corporate law with experience in advertising and media, and have a familiarity with privacy and business/transactional law. Responsibilities may include, but are not limited to:

• Structuring, negotiating, and preparing customer agreements, strategic alliance agreements, non-disclosure agreements, consulting agreements, and sales and marketing agreements.
•Work closely with sales, business development, operations and finance/accounting.
• Lead and manage legal matters pertaining to revenue contracts.
•Advise senior management and business personnel.

Qualifications:

• J.D. from an accredited law school and excellent academic credentials
• Admitted to bar in New York
• At least five years of experience in a large firm and ideally some in-house experience
•Experience with securities, corporate governance and intellectual property matters is a plus.
