Four to five years of experience in technology transactions, with a minimum of three years at a law firm. Emphasis on intellectual property licensing and technology commercialization. Substantive experience with structuring, drafting and negotiating licensing agreements required, including agreements involving software and content licensing, partnering and distribution, application hosting, Web-based services, technology development, services agreements, and technology transfer relationships. Experience organizing and conducting IP/commercial due diligence investigations for strategic investments and acquisitions preferred. This job does not involve intellectual property litigation or the prosecution/registration of any intellectual property. Sharp drafting and negotiation skills required. Successful candidates will demonstrate ability to manage fast-paced client transactions and to provide pragmatic counsel related to clients' technology commercialization strategies. EOE.
