The New York City and Washington, DC offices seek an associate attorney with approximately 2-4 years of transactional experience, specifically licensing and other IP and related agreements. Extensive and continuous experience of drafting and reviewing agreements of all types is required, preferably in the life sciences space. Preferred candidates (Class of 2009 to 2011) will have significant, hands on experience dealing with preparation and negotiation of these agreements in this area at a law firm with a national reputation. The associate must be comfortable with drafting and negotiating complex documents, and handling from start to finish, interacting with other practice groups within his or her firm and outside advisors and managing client expectations. Experience with the following types of agreements is a plus: API Supply Agreements, Distribution Agreements, Contract Manufacturing Agreements, Manufacturing and Supply Agreements, Consulting Agreements, Master Service Agreements, Pharmacovigilance Agreements, Quality Agreements, Clinical Trial Agreements, License Agreements, Term Sheets and Confidentiality Agreements. The ability to work with other team members and clients, and "take ownership" of projects, is essential. Top academics and outstanding writing skills are required. Associates already admitted to practice in New York or DC are preferred.
