Corporate Associate (St. Louis office). We currently have an opening for an Associate Attorney in the Business Services Practice Group. This position primarily handles mergers and acquisitions, corporate finance, and commercial contracts. Specific desired experience includes: negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities and other corporate transactions; leading M&A due diligence for both targets and acquirers; representation of issuers in private placements of equity securities; representation of borrowers in the procurement of senior and mezzanine credit facilities; and all aspects of product distribution and sales. Candidate must have at least 4 years of substantive experience and an understanding of complex financial and corporate transactions. This ability may be evidenced by relevant academic degrees, course work or work experience. CPA, accounting and/or finance background strongly preferred, as are candidates with an aptitude for business development.
