This position will assist attorneys in all stages of corporate transactions and with the documents necessary to comply with federal, state and local regulations in the conduct of business activities.

Requirements

Bachelor's degree in business or finance strongly preferred.
Corporate paralegal experience a bonus. Paralegal diploma.
Experience with all manner of corporate documents.
Strong research skills.
Extremely accurate and detailed in their paperwork.
Strong communication skills – both verbal and written.
Ability of working with set goals and achieving them.
Critical thinking ability.
Ability to work under pressure and with time constraints.
Able to work independently.
Strong organizational and attention to detail skills.
Proficient computer skills using MS Office applications.
Flexibility to work overtime as needed.

Job Duties:

Work with attorneys to prepare all documents required to form corporation, partnerships and limited liability companies in any state.
Assist attorneys in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
Assist attorneys with the preparation of stock certificates.
Complete franchise tax forms for filing with various state taxing agencies.
Create and maintain corporate minute books.
Provide attorney with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings.
Work directly with attorney to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Act of 1933 and 1934 filings.
Assist in the preparation and filing of UCC filings and handle UCC filing search requests in each state.
Assist with the completion and filing of SS-4 Forms with the IRS for the purpose of obtaining Employer Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies.
Respond to and communicate with clients in a timely and professional manner.
Prepare documents or proofread the documents the attorney has prepared.
Be responsible for checking corporate name availability.
Assist attorneys with preparation of board meetings and committee meetings.
Act as witness or notaries in the execution of contracts or other agreements.
