Job Description
We are seeking an experienced transactional lawyer to join our Corporate Transaction Support Team in our Global Services Center in Lexington, Ky.
Bingham launched its Global Services Center in 2013 as part of a transformation initiative to enhance the performance of the Firm's administrative operations. We currently have approximately 180 employees working at the Global Services Center. We are now taking the next step and developing a team of lawyers to work with several of our transactional practice groups. These are full-time positions; we expect to provide our lawyers at the Global Services Center with a great career opportunity to grow, develop great skills and take on significant responsibility while receiving excellent guidance, training and support.
The lawyer we hire for this position will work with our Corporate Practice Group in one or more of the following areas:
Emerging Company Practice: Our Emerging Companies practice, driven primarily by lawyers in our Boston and Silicon Valley offices. The practice includes new company formation, angel and venture capital financing, employee equity arrangements and general corporate representation of technology-based start-up companies and similar matters.
SEC and Public Company Practice: Our Public Company practice, including IPOs and other public offerings, ongoing SEC reporting, proxy statements, Section 16 reporting and compliance with New York Stock Exchange and Nasdaq listing requirements.
Technology Transactions: Our Technology Transactions practice, which includes work in the following areas: licensing; technology acquisitions; participating in IP due diligence teams in M&A transactions; IP support on M&A, lending and investment transactions; joint development agreements; transition services agreements; commercial contracts, including development agreements, referral agreements and sales agreements; software licenses and any software-related agreements; consulting about open source and software issues; privacy issues generally and any privacy related topics; and outsourcing.
