The Silicon Valley office has an immediate need for a specialist in equity and executive compensation for public and private companies, including tax, employment, corporate governance and securities law strike strike and shareholder relations issues.

Minimum of 3 years of significant experience in: (1) Developing and operating equity compensation plans, cash bonus plans, employment/retention/severance arrangements, and change of control agreements; (2) All executive compensation aspects of mergers/acquisitions; (3) Preparation of public company compensation disclosures, including drafting and reviewing disclosures required under Item 402 of Reg. S-K - CD&A, stock plan proposals, say on pay persuasive writing, etc.; (4) Experience in equity compensation (including founder liquidity transactions) in venture capital company investments; (5) Problem solving for IRC Section 409A concerns; and (6) Section 16 reporting. Candidate must be proactive with a demonstrated history of strong project ownership, critical thinking, multi-tasking, written communication, leadership and client interaction skills.
