Associate General Counsel

Woundtech has an immediate opening for an exceptional Associate General Counsel. This position will oversee all aspects of our legal, compliance and risk management functions and will play a significant role in the development of new business opportunities and expansion into new markets and verticals. The Associate General Counsel reports to our Chief Operating Officer.
Essential Functions

Provide general legal counsel to all business functions on a wide range of commercial matters, including assisting with contract negotiations, regulatory issues, marketing initiatives and other matters.
Working with our COO, develop and manage all aspects of our risk management strategy and functions, including business insurance policies, compliance with internal governance programs, and external regulations.
Collaborate across the organization to ensure the company is compliant with relevant regulations
Advise the company on financing matters, including assessing and advising on current and future business structures, transactions and legal entities.
Provide counsel on employment related matters
Manage the company’s trademarks and other intellectual property
Oversee the work of outside legal counsel
Ensure our periodic Board meetings comply with our corporate governance documents.
Organize and manage due diligence projects related to acquisitions
Take an active role in driving growth, through forging new and managing strategic partnerships, as well as new market development.

Requirements

J.D. and bar membership
Healthcare industry experience required
Extensive corporate healthcare compliance experience
Significant experience representing businesses, including negotiating and interpreting contracts
Experience building out legal, risk management and compliance functions
7+ years in a top regional or national law firm, and/or in-house legal department as a General Counsel in the healthcare industry
Excellent oral and written communication skills, interpersonal skills, and work ethic
Possess the highest standards of ethics and professional integrity
Experience with mergers and acquisitions
Self-starter who can multi-task, prioritize, and manage a multitude of conflicting priorities against competing deadlines
Collaborative and ability to develop strong partnerships with internal and external strategic partners
Extensive knowledge/experience in corporate governance matters
Proven ability to work well with Board of Directors
Knowledge of federal and state laws, rules and regulations impacting businesses
Knowledge of employment law
Exceptional analytical and communication skills including the ability to analyze, organize, and effectively present legal issues, opinions and recommendations to a variety of constituents
