Technology Transactions (Procurement and Product Offerings) Counsel for Global Services Provider (Virginia)

Our client, an industry leader/household name, seeks to hire two technology transactions counsel to focus on technology procurement (inbound licensing) and market facing technology offerings (outbound licensing). These are newly created positions in the company’s Technology, IP & Data Protection Group within its Office of General Counsel. You will join an existing team of four; however, you will be the first (and second) technology lawyer on the East Coast.
 
Overview of Role: These positions offer great visibility across all departments and with team leaders in conjunction with drafting and negotiating various technology procurement contracts. In addition, you will be involved with complex, cutting edge work regarding the company’s market facing technology offerings—specifically, you will assist the “ideation partner” and his/her team in the development of Artificial Intelligence-driven service offerings, in designing the contracts for each offering, and, eventually, in developing the risk tolerances around the offerings. At any given time, you will work on offerings which are at various stages of ideation to commercialization, and most of your day will be spent interfacing with clients (both internal business leads/department heads and external business partners).
 
Qualifications: 4-9 years’ experience drafting, negotiating and advising on transactions involving software and other technology, including the development, licensing (SaaS and PaaS agreements), procurement, and sale of IP and other technology and commercial agreements.
 
Ideal Candidate Profile: Intellectually curious, agile, a creative thinker and excited by complexities. Strong executive presentation skills, a solid understanding of software licensing and key commercial terms and provisions, and the ability to balance legal risks and business opportunities.

In addition, you will be coached and mentored by the senior attorney who manages the Technology Group out of the Tysons office and work alongside a 10-attorney Commercial Team (6 of whom we have placed) which is locally based.
