Assistant General Counsel and Director of Compliance

Our client, a publicly traded corporation headquartered in Pittsburgh, has retained us to recruit an Assistant General Counsel and Director of Compliance.  The company is seeking a stellar attorney with around 8-10+ years of experience that includes substantive (multi-year) compliance experience, ideally in a corporate setting.  Candidates should also have experience with commercial contracts and mergers and acquisitions.  Additional experience with litigation management, environmental law or human resource / employment law issues would be a plus, but is not required.  
 
This attorney will report directly to the Audit Committee in connection with the compliance components of this high-profile position.  As Director of Compliance, this attorney’s responsibilities will include developing and managing the company’s varied compliance policies and procedures; providing compliance oversight, training and materials to employees across the company’s global platform; managing the company’s compliance hotline; assisting with and supporting governmental inquiries and investigations; leading and conducting internal investigations related to alleged code of conduct violations; and staying abreast of developments pertaining to applicable compliance-related statues and regulations.  This company has developed an excellent culture for compliance, making these issues a priority throughout the organization.  
 
This position will also report to the Deputy General Counsel and Assistant Secretary and will be responsible for handling a variety of other work including drafting, reviewing and negotiating commercial agreements, supporting mergers and acquisitions, managing litigation, and providing support in connection with environmental issues, employment issues and other day-to-day legal matters.  This role provides outstanding growth opportunity to expand the scope of one’s practice and gain expertise in specific areas that my hold particular appeal.
