Cooley LLP has opportunities available in the San Francisco Bay Area in its preeminent, internationally recognized Fund Formation practice; associates with four to seven years of full time fund formation experience are encouraged to apply. The ideal candidate will have worked in a law firm environment at a national or international law firm, spending a majority of time representing sponsors in the formation of funds, though consideration will be given to persons who have represented investors in venture capital and/or private equity funds. Experienced attorneys will be familiar with drafting and negotiating documents in connection with the formation of U.S. and/or other international venture capital and private equity investment funds and their respective management entities, including partnership agreements, limited liability company operating agreements, subscription agreements, transfer agreements, and private placement memoranda and related fund marketing materials and have substantive knowledge of and experience working with the domestic and international laws and regulations applicable to such entities. Familiarity with requirements applicable to exempt reporting advisers and fully registered investment advisers a plus. Ideal candidates will have a high level of academic achievement from a nationally recognized law school.
