Mid-Level Associate Attorney (Bankruptcy & Reorganization) In Ny, Ny-

Under the guidance of senior associate attorneys and partners, supervise junior associate attorneys to conduct legal research, and draft principal transaction documentation (Chapter 11 pleadings, disclosure statements, plans of reorganization, plan support agreements, and related agreements). Participate in the representation of debtors, creditors, and acquirers of assets in Chapter 11 bankruptcies and out-of-court loan workouts and lenders and borrowers in private finance transactions. Conduct legal research and prepare legal memoranda. Participate in providing counsel to lenders, in connection with managing exposure to financially troubled companies. Participate in conducting negotiations with commercial banks, investment banks, investors, bond holders, and companies. Participate in conducting the negotiation and drafting of documentation for international out-of-court restructurings as well as Chapter 11 proceedings (such as first day pleadings and routine motions). Participate in the negotiation and drafting of contracts and motions for relief from bankruptcy courts and present, argue and defend routine motions before the bankruptcy court. Monitor developments in state and federal case law and regulation as it relates to the bankruptcy practice and have a full grasp of the Bankruptcy Code, and Federal Rules of Bankruptcy Procedure. Occasional national and international travel, 10%. Minimum Requirements: JD, LL.M., LL.B. or foreign equivalent degree in Law plus three (3) years of experience as an Associate Attorney, Counsel, or in a related position. Must have three (3) years progressive experience in general international corporate practice, including due diligence, drafting and negotiating agreements relating to bankruptcy and reorganization at an international institution or related experience in law. Admission to the New York Bar is required. Must have two (2) years of experience in managing complex multijurisdictional bankruptcy transactions; coordinating with foreign local counsel in multiple jurisdictions; and drafting experience in relation to bankruptcy transaction documents such as, Chapter 11 pleadings, disclosure statements, plans of reorganization, plan support agreements, and related agreements. Two (2) years of experience with multiple high-value bankruptcy transactions (including cross-border transactions) involving value over $100 million, and dealing with complex legal issues under U.S. and non-U.S. law. Willingness to travel globally, including extended-stay international assignments, 10%.
