Associate Attorney (Project Development & Finance) In Ny, Ny:

Under the guidance of a partner, collaborate with a large team of local counsel and associate attorneys in drafting, reviewing, and negotiating specialized legal documents, such as contracts and memoranda, related to substantive law and procedures in the Project Development and Finance Group, with a focus on financing contracts and transactions. Advise on legal systems, contract drafting and review and legal business practices with particular attention to power generating facilities, toll-roads, light-rail, oil and gas pipelines, and mining projects. Work with Shearman & Sterling attorneys and assist in devising business development strategies to advise existing and new clients, analyzing the client's legal and business requirements and coordinating with Shearman & Sterling's legal staff and junior level associates of the appropriate means to accomplish these requirements. Collaborate with junior associates, legal assistants, and paralegals in the Group. Occasional national and international travel, 10%. Minimum Requirements: JD, LL.M., LL.B. or foreign equivalent degree in Law plus two (2) years of experience in the job offered or as a Manager, Senior Consultant, Consultant, or related position. Must have two (2) years of experience utilizing key metrics in financial models to assess the economic feasibility of a project, including cost and revenue projections, operating expenses, and capital expenses; Reviewing financial assessments and translating financial models into commercial terms of a project; Utilizing accounting and financing concepts to read financial statements and reports and translating financial data into transaction structure; Undertaking and managing due diligence, risk analysis, and mitigation in structuring project transactions; Business and organization structures customary in structuring transactions; Identifying and analyzing triggers and issues arising from transactions between a sponsor of a project and its related entities, including pricing intercompany transactions between controlled entities and implications and concerns relating to affiliated transactions; and advising and liaising with clients and other stakeholders for a project. Must have one (1) year of experience driving a project team and managing the work processes within the team members, consultants, and other experts. Admission to the New York bar is required. Willingness to travel globally, including extended-stay international assignments. 10% domestic and international travel required.
