Mid-Level Associate Attorney (Mergers & Acquisitions) In Ny, Ny.

Under the guidance of senior associates and partners, will supervise a large team of local counsel and junior associate attorneys in the drafting, reviewing and negotiating the terms of complex agreements and other legal documentation, preparing schedules to acquisition and other agreements, and supervising legal due diligence on acquisition targets, including preparing summary memoranda, in connection with the representation of U.S. and foreign companies and financial institutions, regarding all aspects of domestic and cross-border acquisitions, divestitures, mergers, joint ventures, reorganizations and strategic alliances, including engagement letters with financial advisors, sale and purchase agreements, merger agreements, asset transfer agreements, shareholder agreements, commercial agreements, including product supply agreements, contract manufacturing agreements and site services agreements, confidentiality agreements and resolutions of directors and shareholders. Advise buyers and sellers on public and private stock and asset sales and purchases, mergers, spin- and split-offs, divestitures, reorganizations, joint ventures and other business combinations. Represent companies and stockholders in matters of corporate governance, including shareholder proposals, shareholder meetings, director elections and proxy contests. Occasional national and international travel, 10%. Minimum Requirements: JD, LL.M., LL.B. or foreign equivalent degree in Law plus three (3) years of experience as an attorney in general international corporate practice. Three (3) years of experience must include: due diligence relating to mergers and acquisitions at an international institution or related experience. Must have two (2) years of experience with: managing complex multijurisdictional mergers and acquisitions transactions, including coordinating with foreign counsel in multiple jurisdictions; drafting experience in relation to mergers and acquisitions transactions, stock purchase agreements, asset purchase agreements, joint venture agreements and shareholder agreements and all ancillary agreements related to the foregoing; multiple high-value mergers and acquisitions transactions (including cross-border transactions), and dealing with complex legal issues under U.S. or non-U.S. law; and drafting and negotiating commercial agreements. Must be willing to travel globally, including extended-stay international assignments, 10%. Admission to the New York Bar is required.
