The Opportunity
We are looking for CZI’s first Investment Counsel to be part of CZI’s Legal and Grants Team and an integral partner with our Investment Team. CZI’s investment function is a new effort within the organization. The goal is to build a world-class investment portfolio that will deliver superior risk-adjusted returns to fund CZI’s ongoing philanthropic operations over the long-term. The investment program pursues a “manager of managers” approach, scouring the globe to find extraordinary investment organizations that invest across a wide spectrum of styles and asset classes.
You will be responsible for both day-to-day management of legal issues related to CZI’s investing and management of global funds, including its Donor Advised Fund and Private Foundation, as well as building CZI’s legal systems, processes, and tools to support our Investment Team. You also will partner with CZI’s Impact Investing Team and assist with CZI’s general governance matters so that we have the systems in place to ensure everything is ticked and tied. The successful candidate will be someone with a long-term strategic and systemic approach as CZI is building for the long-term, while also possessing a proactive, entrepreneurial attitude, who rolls up his or her sleeves to build a world-class investment function form a legal perspective. You will
Provide leadership, management, and operational expertise with the objective of building and running best in class legal support for the Investment Team and Impact Investment Team
Develop and implement systems, policies, and procedures to support the investment operations function and corporate governance. Build, execute, and be responsible for legal support, from both a strategic and execution perspective
Review, draft, and negotiate agreements and other documents relating to domestic and foreign private investment funds, separately managed accounts, and co-investment vehicles.
Monitor and advise on domestic and foreign legal, regulatory, and compliance matters related to investment matters
Maintain up-to-date knowledge of applicable laws, regulations and industry best practices (or create our own CZI-best practices), and work to ensure organizational adaptation and compliance
Develop, maintain, and advise on investment policies, guidelines and compliance measures.
Support operational due diligence
Work with outside counsel, investment professionals, and members of the investment operations and impact investment team on complex investment structures and investment manager contracts, and other business issues
Spearhead the legal aspects of M&A, if any
Execute on both routine and complex tasks and projects, and appropriately balance operational priorities and risk
Provide strategic and practical advice with the goal of maintaining a nimble and responsive approach while balancing the needs of a scaling organization
Identify and own projects that contribute to the Legal and Grants team and/or the greater CZI team
You have
10+ years of law firm and in-house experience
Expertise in investor-side review and negotiation of investment fund agreements, including private equity partnerships, separately managed accounts, and co-investment vehicles
Expertise in legal aspects of venture capital and corporate governance. Superb organizational skills
Familiarity with regulatory and compliance issues associated with investment-related activities
Ability to work collaboratively in a team environment with internal and external contacts at all levels
Demonstrated ability in successfully taking initiative on projects with a high degree of responsibility and complexity
Ability to handle numerous projects, strong organizational skills, and superb written and oral communication skills to, among other things, keep relevant stakeholders informed, while maintaining confidentiality
