Technology and Alliance Transactions Counsel

Cognizant has an immediate opening for a corporate in-house attorney for strategic alliances and technology partnering transactions.
The ideal candidate will have a minimum of 5-10 years combined experience in a top law firm or in-house legal department. The position requires a deep experience with client contracts and vendors (including software, hardware, and service vendors) on broad variety of technology transactions, including resell, licensing, teaming and alliance deals.  The ability to work quickly in a fast-paced and global environment to draft, negotiate, and manage complex contracts with autonomy, excellent communication, organizational skills, and prior experience managing demanding timelines from multiple business stakeholders is required.  Work directly with account team members and client partners. Some travel required.
Responsibilities include:

Drafting, reviewing, and negotiating vendor contracts, alliance and partnership agreements, and pass-through contract terms between vendors and clients. Negotiating inbound and outbound license agreements governing software, SaaS, and hybrid services, as well as one-off resell and teaming agreements.
Advising business teams to ensure legal compliance with applicable regulations and company policies.
Coordinating with various internal stakeholders and advising the business teams on contracting/compliance.
Analyzing and assessing business processes, spotting issues and proposing solutions.
Training and managing attorneys for infrastructure deals.
Driving processes and efficiencies across the CIS and commercial contract teams.

Required qualifications:

Licensed attorney with a minimum of 5-10+ years’ expertise in technology transactions, preferably with both large law firm and in-house experience
Prior exposure to IT sourcing from OEMs is a major plus
Experience in a wide variety of contract drafting and negotiations, preferably representing a client without significant contracting leverage
Exposure to master service agreements, and various deployment models relative to software and technology services (on premises, managed services, software-as-a-service, public/private cloud arrangements), system integration, or other commercial agreements with complex intellectual property, licensing, privacy, indemnity, and liability issues
Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations across multiple time zones
Enjoy working in a rapidly changing and diverse environment and comfortable navigating through ambiguous situations.
