Squire Patton Boggs (US) LLP is seeking a mid-level associate (3-5 years) with private investment funds experience to represent fund sponsors and investment advisors in connection with the structuring, formation, management, and operation of various types of US and non-US private investment funds and related vehicles. The candidate should be sufficiently trained in all technical aspects of this practice area and have been actively engaged directly with clients and in managing or having significant responsibility for important aspects of deals, including negotiations with investors and drafting documents. The candidate should also have significant experience in Investment Advisers Act matters and regulatory compliance, as well as the operational and legal issues faced by fund managers. The candidate should also have strong experience advising institutional investors making investments in various types of private investment funds, which includes conducting extensive legal and commercial due diligence reviews of fund documentation, negotiating of side letters, coordinating the “KYC” and subscription process, and drafting analysis memoranda for clients. Accordingly, we are looking for a candidate who can hit the ground running and move seamlessly into client relationships. Client and project management experience in a large law firm setting is required. This position may be based in our Washington, DC or New York, NY office.
