Provide legal counsel related to financial transactions and the development of energy projects, including secured and unsecured financings, bridge financings, tax equity financing, lease financings, and bond financings for large institutional clients, both domestic and international. Draft, review, and negotiate term sheets, financing agreements, security documents, credit agreements, equity capital contribution agreements, participation agreements and related documents for letters of credit, construction loan, term loan, bridge loan and revolving loan credit facilities related to debt financing packages for energy and infrastructure projects. Conduct due diligence exercises and organize deal closings. Work on inbound and outbound project finance transactions and advise clients on issues arising with structuring finance deals for U.S. and foreign renewable energy projects (e.g., wind and solar projects). Lead debt, tax equity and lease financing and mergers and acquisitions transactions involving energy projects utilizing knowledge of Uniform Commercial Code (UCC) and related secured transaction laws. Draft, review and negotiate project documents for energy projects (e.g., power purchase agreements, operations and maintenance agreements, engineering, procurement and construction agreements). Develop client relationships, network with existing and prospective law firm clients, and engage in direct contact with domestic and international counsel and clients. Supervise junior associates and conduct CLE seminars for junior associates. Draft and review legal opinions for complex secured financings. Attend law school recruiting events and conduct on-campus interviews of prospective summer associates.
JOB REQUIREMENTS:
JD or LLM; CA Bar Admission; and four years experience practicing law. Up to 10% domestic and international travel required. One year of experience must include working on inbound and outbound project finance transactions and advising clients on issues arising with structuring finance deals for U.S. and foreign renewable energy projects (e.g., wind and solar projects); drafting, reviewing and negotiating project documents for energy projects (e.g., power purchase agreements, operations and maintenance agreements, engineering, procurement and construction agreements); leading debt, tax equity and lease financing transactions involving energy projects utilizing knowledge of UCC and related secured transaction laws; and drafting and reviewing legal opinions for complex secured financings.
