About Tomlin LawTomlin Law is a small and growing law firm focused on sophisticated commercial real estate, corporate and general business transactions.The candidate will have the opportunity to work on a variety of commercial real estate and corporate transactions including new development and construction projects, joint ventures, the acquisition and sale of commercial properties, construction loan financing, private equity investments, joint ventures, commercial leasing for landlords and tenants and advising existing and start-up companies in a variety of industries. The candidate will have the opportunity to learn and grow with the firm.Required ExperienceThe candidate must have 5+ years experience working as a real estate paralegal and must have a thorough understanding of real estate and related transactions.Essential Duties and ResponsibilitiesAbility to independently manage the preparation and processing of real estate transactions from contract through closing. Coordinate and attend closings, including calculation of closing adjustments and the preparation of closing statements, deed, transfer forms, and other related documents necessary to close a real estate transactionReview title, surveys and other due diligence materials and clear title exceptions for closing.Prepare and review Real Estate Purchase Agreements, communicate with buyer’s counsel, brokers and title company and have knowledge of contract negotiation.Prepare and review loan documents and have knowledge of loan transactions.Prepare and review lease related documents and have knowledge of lease negotiations.Corporate structuring experience including forming limited liability companies and knowledge and understanding of operating agreements.
