Overview Soltage is a leader in the development, financing, and operation of distributed utility-scale solar and storage assets for commercial, industrial, municipal, and utility customers across the United States. Position Expectations Soltage is hiring a Transaction Counsel to provide legal advice regarding all aspects of renewable energy development and project finance. The role includes reviewing, negotiating, and administering commercial agreements, evaluating regulations impacting distributed energy assets. The attorney will review, draft, and negotiate project agreements associated with Soltage’s projects, supporting development and financing of these projects. The ideal candidate should have a passion for renewable energy, be detail-oriented, and possess an entrepreneurial approach to issue spotting and problem-solving. Soltage is seeking an attorney with 3 or more years of relevant experience, preferably at a leading legal firm in the field. Renewable energy experience is required. Specific Job Functions: Structure, negotiate, draft, and review various commercial agreements including equipment supply, EPC, O&M, lease, and power purchase agreements. Support negotiations, drafting, and critical review of real estate documents, including lease option and purchase option agreements, leases, easements, shared facilities agreements. Lead financing of greenfield and M&A transactions, including drafting and critical review of debt and tax equity financing agreements. Manage outside local counsel and effectively partner with outside counsel to leverage subject matter expertise and manage state-specific legal and regulatory issues. Assist with maintenance of contract database. Identify critical project risk issues and make recommendations on mitigation of same. Draft terms and conditions, FAQs, legal disclaimers, and other policies. Provide Senior Management with regular updates on key legal matters. Qualifications:A J.D. degree from an accredited law school and admission in a U.S. jurisdiction to practice law are required.3+ years of experience as a transaction lawyer in the renewable energy sector, with specific legal knowledge and experience in solar and/or storage facilities matters.Prior experience in developing, constructing, and financing power facilities or infrastructure for an energy project developer or other energy company. The candidate must have experience leading deals.Ability to identify risks and propose solutions to mitigate risks.Ability to work in a dynamic team environment and handle multiple projects.A pragmatic and business-oriented approach to legal issues and comfortable working across multiple departments.Excellent business judgment, communication, interpersonal skills, accountability, and attention to detail.Ability to manage competing deadlines and shifting priorities with minimal supervision in a fast-paced environment.Open to receiving feedback, a willingness to learn and grow, and an ethos of continuous self-improvement.Passion for the environment and renewable energy. Location This position will be staffed out of Soltage’s headquarters in Jersey City, NJ.
