Our client, a multinational energy manufacturing & logistics company, is seeking to hire a Senior Counsel - Midstream for their North American operations. This role reports to the Managing Counsel – Transactions, Projects & Procurement and will work with colleagues in these areas of a large corporate law department in a publicly traded, international energy company. Responsibilities include providing legal advice to the Company’s Midstream staffs and management, as well as corporate management, to ensure risks are adequately identified and addressed in agreements and compliance with the laws and regulations of the federal government and state and local governments as may apply. The Senior Counsel will also provide sophisticated legal advice for large scale midstream projects and transactions, with an emphasis on natural gas, NGL, gathering and processing, and regulated midstream assets; collaborate with and support the company’s midstream business unit, including midstream operational issues, negotiating and drafting midstream agreements, including NGLs, natural gas, gas gathering and processing agreements, gas purchase agreements, interconnects, offtake, and related midstream contracts; manage outside counsel retained in connection with the provision of such advice, services, and documentation; and provide direction to management in the design, development and implementation of policies and procedures to respond to government initiatives for the purpose of proactively managing legal risk. Candidates should have 8 or more years of experience in the midstream area with an emphasis in regulated (FERC, TRRC, OCC, etc.) pipelines, transportation, natural gas, NGLs, gathering, processing. Extensive knowledge in commercial transactions and business development a plus. Ideal candidates will have superior negotiation, advocacy, and presentations skills, and mature judgement and discretion. Ability to manage and prioritize assignments, which may be broad in scope and complexity, and which involve collaborative work with employees in different departments or with varying degrees of seniority required.
