Senior Vice President, Legal and Regulatory Affairs The National Electrical Manufacturers Association (NEMA) represents nearly 325 electrical equipment and medical imaging manufacturers that make safe, reliable, and efficient products and systems serving seven major markets Building Systems; Building Infrastructure; Lighting Systems; Industrial Products & Systems; Utility Products & Systems; Transportation Systems; and Medical Imaging. NEMA’s combined industries account for360,000 American jobs in more than 7,000 facilities covering every state. These industries produce $106 billion in shipments and $36 billion in exports of electrical equipment and medical imaging technologies per year. Headquartered in Arlington, Virginia, NEMA’s mission is to accelerate and create an environment in which the all-electric economy will thrive. NEMA employs approximately 75, to grow to 85 over the next year and an annual operating budget of approximately $24 million, expected to grow to $34 million over the same timeframe. The National Electrical Manufacturers Association engages in advocacy on public policy issues important to those industries, develops performance and other Standards in the electrical and medical imaging industries, and provides economic reports and analytical products to assist Member companies with business decisions. NEMA is an ANSI-accredited standards development organization. As a key member of the NEMA Management Team, the SVP, Legal and Regulatory Affairs serves as the senior most legal and regulatory personnel. This position, which also serves as Corporate Secretary, works directly with the NEMA Board and Executive Committee. The position, located in Arlington (Rosslyn), Virginia, reports to the President and Chief Executive Officer. The position includes domestic travel (<20%) for member meetings and speaking engagements. Key Responsibilities Legal Oversight of the AssociationMonitors and manages risks; works closely with the CEO and CFO on matters pertaining to legal riskOversees laws affecting the organization including but not limited to trade association/not-for- profit, anti-trust, copyright, trademark, contract, administrative, corporate, tort, and product liabilityProtects the Association through effective contract development and review practices, principally involving vendor and employee-related agreementsReviews and contributes to the Association’s engagement on public policy issues before federal and state agencies and legislatures involving the interpretation of laws and regulations and legal precedents as well as crafting proposed legislation/regulations where indicatedAs needed, effectively assesses litigation strategies, including use of outside counsel, affecting the Association and the electrical and medical imaging industries; provides recommendations to the CEO, Board and Management Team. II. Regulatory AffairsOversees NEMA’s engagement with regulatory agencies, including DOE, DOT, FERC, DOC, SEC, among others. Maintains constructive working relationships with senior officials within relevant agenciesCoordinates closely with the SVP of Technical Affairs and SVP of Public Affairs to advance NEMA’s policy positions and desired regulatory outcomesCoordinates closely with the SVP of Public Affairs to develop NEMA regulatory and policy positions on energy, trade, tax, transmission, climate, ESG and other issues germane to NEMA’s mission.Oversees member committees and teams on relevant regulatory engagementsDirects regulatory staff team to advance desired outcomes III. Corporate Governance Maintains thorough familiarity with, and keeps current, all NEMA governing documents such as bylaws, procedures relating to the development of technical Standards, and other internal regulations common to Associations; initiates timely updates as circumstances dictateSupports the Board of Governors and its committees; serves as a resource to the Board, especially in matters related to law, policies and proceduresMaintains knowledge of important historic decisions approved by the Board as through drafting/keeping meeting Minutes and similar documentationHas good familiarity with operating and compliance requirements of trade associations, public charities and political action committee activities IV. OtherResponsible for protection of the Association’s intellectual property; principally trademarks and copyrights of its Standard publications and website contentSupports Human Resources Department; for instance, advises CEO and Board on employee discharges, separation agreements, whistleblower claimsProvides training sessions to staff on antitrust, intellectual property, contracts, tort, and regulatory law conflict of interest and whistleblower policiesHas good familiarity with federal compliance matters related to IRS and Lobbying Disclosure Act filings Experience and QualificationsJuris Doctor from accredited law school required Active member in good standing of State Bar Association(s) where authorized to practice law; become member of Virginia Bar Association shortly after joining NEMAMinimum fifteen years’ legal experience with increasing responsibilities over careerPrior legal experience and demonstrated success in many of the following areas considered highly important: advising trade associations or other forms of non-profit organizations; antitrust counseling; corporate compliance programs; experience or familiarity with technical Standards development programs; product safety and liability; energy efficiency policy; litigation -- trial and/or appellate; contract law; food and drug law; employment law; copyright and trademark law.Extensive experience related to corporate legal administration and Board governance matters; practical grasp of parliamentary procedure essentialKnowledge of electrical and medical imaging sectors and manufacturing environment a definite plusExposure to legal issues arising from digitalization and data (e.g., privacy, cybersecurity) importantStrong negotiation skills and excellent written and verbal communicator with proven ability to persuasively advocate in private/public settings at all times displaying executive presenceInnovative thinker and leader who is individually proactive, outcome-oriented, and a team builder/playerDemonstrated ability to excel in a fast-paced, multidiscipline environment with challenging timelines for multiple projects occurring simultaneouslyNEMA offers a competitive salary and excellent benefits package including paid holidays and personal time, flexible working hours, 401(k) plan, health/dental insurance, and partial pre-tax parking/Metro subsidy.
