Associate Counsel - Commercial Unit – 21504 Position Summary: The Associate Counsel - Commercial Unit is responsible for providing legal advice and interpretation on various issues to administrators throughout the Department; exercises independent judgment pertaining to the negotiation, drafting and review of important legal agreements having significant financial, procedural, or policy consequences. The Associate Counsel works closely with the Deputy Counsel and provides support to the unit’s staff attorneys and is held accountable for ensuring that their practice area meets performance goals and identified objectives. Reports to: Deputy Counsel, Commercial Unit. Direct Reports: Commercial Unit Attorneys. Key Relationships: General Counsel to the Chancellor, Chief Deputy Counsel, Office of Legal Services Senior Staff. Responsibilities · Advises and makes recommendations to the General Counsel and other executive staff on questions of law, fact and administrative policy. · Assists in litigation of complex and significant cases; drafts important and complex contracts and legislation and policy statements on behalf of the Department. · Directs and supports subordinate staff responsible for legal activity of significant financial, policy, or procedural consequences. · Negotiates, reviews, and drafts contracts and agreements for a wide range of goods, services, and equipment. · Provides legal advice on the legal sufficiency of procurements and assists in providing legal advice in bid protests. · Assists in the development of procurement policies and procedures for the Department. · Advises on basic copyright and intellectual property questions. · Serves as liaison in commercial litigation cases. · Reviews RFPs, proposals, and contracts, and recommends solutions to mitigate project risks. · Prepares, reviews, and negotiates software license and maintenance agreements, computer hardware purchase and maintenance agreements, software development agreements, information technology service agreements, application service provider agreements, hosting agreements, and other related information technology agreements. · Advises the Special Education Office on contract and commercial matters related to large numbers of private vendors. · Advises the Division of School Facilities on legal issues involving school buildings, including issues involving real estate, construction, access, and property damage. · Drafts rules and regulations for the Department of Education. · Analyzes and reports on the effects of City, State, and Federal legislation. · May perform the duties of the Deputy Counsel of their assigned practice area in their temporary absence. Qualification Requirements: Minimum · Admission to the New York State Bar and four years of recent full-time responsible, relevant, satisfactory legal experience subsequent to admission to any bar, eighteen months of which must have been in the supervision of other attorneys, in an administrative, managerial or executive capacity, or performing highly complex and significant legal work. · Incumbents must remain Members of the New York State Bar in good standing for the duration of this employment. Preferred · Superior ability to manage and administer large-scale initiatives and to engage leaders. · Experience negotiating information technology contracts. · Knowledge of public procurement. · Ability to rapidly understand provisions of applicable law and regulations. · Ability to write clearly and concisely. · Efficient research skills.
