Assoc General Counsel at TIAA-CREF (New York, NY )

TIAA-CREF desires to find an experienced attorney to join its Retirement & Individual Financial Services Law team supporting TIAA-CREF’s state 529 plan business and its associated SEC-registered investment adviser. This is a dynamic business within TIAA-CREF that offers wide ranging opportunities for professional growth. This role supports teams located across the country, and the selected individual can be located out of our Charlotte, Denver, or New York office.

Responsibilities:

  • Providing in-house legal services to the state 529 plan service provider business and its associated SEC-registered investment adviser. This position requires a strong understanding of investment advisory services, broker-dealer activities, disclosure documents, and related operational systems and procedures.
  • Structuring legal and business advice based on applicable rules, regulations, and laws.
  • Negotiating, drafting, reviewing, and analyzing contracts with clients and contracts used in connection with securities distribution activities.
  • Supporting responses to state 529 plan RFPs; drafting state 529 plan disclosure documents.
  • Conducting research, supervising outside counsel, and coordinating with other attorneys.
  • Working closely with business partners, understanding business strategies, and coordinating with compliance and operations partners.

Qualifications

  • JD degree from an ABA accredited law school and member in good standing of a state bar are required.
  • Demonstrated experience as counsel in an investment adviser and/or investment company practice at a major law firm, securities regulator, or financial services institution is required; six to ten years of experience is preferred.
  • Experience with legal work supporting all aspects of investment adviser and investment company business operations is required; experience with state 529 plans is preferred.
  • Excellent judgment and decision making skills and ability to elicit pertinent information from partners to make fully informed, sound decisions.
  • Strong communication skills with the ability to understand, analyze, and distill complex subject matter into easy-to-understand concepts; strong interpersonal and writing skills.
  • Must be a self-starter with the ability to counsel clients directly and move projects forward.
