Debt Finance Associate at Goodwin Procter LLP (Boston, MA)

Requirements:

Goodwin Procter seeks a highly qualified associate to join our Debt Finance group. Candidates should have experience representing private and public borrowers, and/or bank and non-bank financial institutions in connection with syndicated first and second lien loans, club deals, unitranche and mezzanine debt financings. Candidates should have experience drafting and negotiating commitment papers, credit agreements, and collateral documents and managing the delivery of customary closing documentation for leveraged buyouts, dividend recaps and other debt financings, including payoff and lien release documents, corporate documents, schedules and closing certificates. Experience with liquidity, bridge and leverage debt facilities for closed end private funds (private equity and other) and open-end private funds would be a plus, along with experience with venture debt financings and later-stage “growth debt” or “mezzanine” debt financing and financing life science, healthcare and technology companies.
