Assistant Corporation Counsel

Description of WorkPosition Definition: The Office of Corporation Counsel seeks a seasoned contract and transactional attorney to prepare, review, negotiate and advise on contracts the City of Norwalk enters into in the normal course of its operations. Transactions assigned will include real estate matters (e.g., - licenses, leases, easements, restrictive covenants, deeds, purchase and sale agreements, land disposition and development agreements, eminent domain matters, land use issues, title matters); construction matters (e.g., - architectural, engineering and construction contracts); finance matters (i.e. promissory notes, mortgages, and other security agreements); software and data protection agreements; and other general contracting matters (e.g., - general services and equipment agreements, grants, art exhibition, consignment and commissioning agreements, etc. . .). Support the City’s Purchasing Division, and other departments of the City, in connection with bid documents and transactional matters. Manage or support administrative actions or litigation arising out of the above responsibilities. Providing assistance and guidance to City officials and staff regarding all aspects of the Freedom of Information Act (“FOIA”).

General Duties: Provides legal consultation, representation and assistance to assigned departments and Common Council Committees (e.g., - prepares advice and opinions for City in matters requiring interpretation of state or federal laws, City Charter, ordinances, administrative regulations, contracts or other legal instruments). Prepares, or reviews City contracts, ordinance or regulation proposals, and other documents by direction of the Corporation Counsel. Researches questions of law or administrative regulations. Reviews requests for assistance to City officials, Boards, Commissions or Committees. Prepares opinions and/or oral advice as needed. Attends department and Commission meetings and provides legal advice. Monitors federal, state and intergovernmental publications to maintain current in municipal law and state or federal regulatory procedures. Prepares information materials regarding City regulatory policies and procedures. Assists special counsel, when necessary or advisable, to assure interests of the City.

Additional Duties: Assigns work to secretarial and paraprofessional staff. Receives oral or written direction from the Corporation Counsel. Plans work according to established or standard procedures. Determines priority of work within assignment. Performs related work as assigned.

Supervised By: Receives general supervision from the Corporation Counsel.

Required Knowledge, Skills and Abilities
Thorough knowledge of the state legal system and its procedural requirements. Knowledge of the relevant laws of the State of Connecticut and ordinances and regulations of the City of Norwalk. Knowledge of federal laws and regulations as they affect City operations. Ability to make well-reasoned, persuasive legal arguments, orally and in writing. Ability to analyze laws, regulations, proposed changes, contracts and legal issues to determine their legal impact on the City. Ability to deal effectively with others.

Minimum Qualifications
Juris Doctor from an accredited law school and five years relevant contract and transactional law experience. Seven years or more of relevant contract and transactional and municipal law experience is preferred.

Special Licenses/Certifications AND/OR Supplemental Information
License or Certification: Admission to practice law in Connecticut required. Admission to practice in Federal Courts required. Motor Vehicle License required.
