Structured Finance Associate (Banking and Financial Services Group) at Chapman and Cutler LLP (Washington, D.C.)

Chapman and Cutler LLP is seeking an Associate to join our structured finance practice in the Washington, DC office.The successful candidate will have 1-4years of experience in corporate transactional law at a large or mid-size law firm.Experience in debt capital markets and structured finance transactions is preferred.

Examples of specific types of desired experience include the following (although the successful candidate need not have all of the desired experience listed):

* Representation of issuers, underwriters, institutional investors, lenders and sponsors in securitization transactions with a broad range of asset classes, including credit card receivables, student loans, trade receivables, automobile loans and leases, dealer floorplan receivables,equipment leases, shipping container receivables, commercial loans, mortgage loans, consumer loans and esoteric assets (e.g., PACE loans).

* Representing parties to secured and unsecured credit facilities and debt capital markets transactions.

* Providing advice to clients on structured products, as well as advising clients on the acquisition or sale of portfolios of receivables or loans (including marketplace loans).

* Experience closing debt capital markets, structured finance, derivative or other similar transactions.

* Working knowledge of Article 9 of the UCC, the Securities Act of 1933 and the Securities Exchange Act of 1934.

* Understanding of regulatory issues as they relate to asset-based and asset-backed finance transactions and securitizations.

* Counseling issuers in connection with SEC registration statements and related reporting.
