Pepper Hamilton LLP is seeking to hire an experienced (4-6 years) Commercial and Licensingattorney. We would consider eitherassociate or staff attorney candidates.

The candidate must have experience in most of the following: negotiating and drafting software, technology and commercial agreements, including an understanding of customary terms in licensing, implementation, support and maintenance, and SaaS and hosting agreements; general counseling concerning commercial and intellectual property issues including online contracting, domain name disputes and digital content distribution issues (including copyright and the DMCA); knowledge of data privacy and security regulations affecting ecommerce and mobile technology, including online social media and data analytics; drafting and negotiating representations and warranties in and identifying key intellectual property issues in corporate transactions.

The ideal candidate will also have experience in life sciences transactions such as licensing, collaborations, partnerships, joint ventures, contract research and development, manufacturing, clinical trial and distribution agreements. Candidates must have: excellence in drafting agreements; strong written and oral communication skills; demonstrated ability to interact with business executives; understanding of business goals/needs; and ability to lead negotiations.
