The Corporate and Transactional Advisory Group of Reed Smith, a top global law firm of over 1800 lawyers, is currently seeking a highly skilled, mid-level associate to join the firm's Philadelphia office.

This role requires someone excited about working in tandem with a collaborative and experienced team delivering high quality legal work and seamless execution of our legal services across our 26 offices. Successful candidates will have:

• 3-5 years of experience representing public and private clients in M&A, private equity, venture capital, securities offerings and securities law compliance, and general corporate matters.
• Hands on drafting and negotiating experience for complex M&A and private equity transactions and related investment agreements.
• Experience as a key member of deal teams for a range of middle market transactions, including responsibility for producing acquisition, equity and related documents in a client-ready format, and running key aspects of transactions, from due diligence through closing.
• The ability to concisely and effectively communicate complex matters in oral and written form.
• Strong academic credentials.
• A willingness to assume increasing responsibility, excellent leadership skills, and an interest in sharing those talents through mentoring and training junior lawyers
